Welcome to Lookout! These Terms of Service ("Terms") govern your use of the Lookout platform ("Service"), operated by Lookout ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

Lookout is a social-first housing marketplace that connects verified users aged 18-30 for housing opportunities including rentals, sublets, and roommate matching. Please read these Terms carefully before using our platform.

1. Acceptance of Terms

By creating an account, accessing, or using Lookout, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Lookout. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Eligibility and Account Requirements

  • Our platform is designed for users aged 18-30 years old

2.2 Account Responsibilities

  • You must immediately notify us of any unauthorized use of your account
  • You may only create one account and may not share your account with others
  • You are fully responsible for all activities that occur under your account

2.3 Verification Requirements

  • You may be required to complete identity verification processes
  • Verification may include photo identification and gesture verification
  • Providing false information during verification may result in account termination
  • Verified status may be revoked if fraudulent activity is detected

3. Platform Use and Restrictions

3.1 Permitted Use

  • Finding and listing legitimate housing opportunities
  • Communicating with other verified users about housing
  • Sharing accurate information about yourself and your listings
  • Using platform features for their intended purposes
  • Reporting violations of these Terms or unsafe behavior

3.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Content and Communication Violations:

  • Posting false, misleading, or fraudulent listings or information
  • Harassment, abuse, or threatening behavior toward other users
  • Discrimination based on race, religion, gender, sexual orientation, or other protected characteristics
  • Posting explicit, offensive, or inappropriate content
  • Impersonating another person or entity
  • Soliciting personal information beyond what's necessary for housing arrangements

Commercial and Spam Violations:

  • Commercial advertising unrelated to housing
  • Spam, bulk messaging, or automated messaging
  • Soliciting users for external websites, services, or platforms
  • Operating as a commercial real estate business without disclosure
  • Collecting user data for commercial purposes

Technical and Security Violations:

  • Attempting to hack, reverse engineer, or compromise our platform
  • Using automated scripts, bots, or crawlers
  • Circumventing security measures or access controls
  • Interfering with the proper functioning of the platform
  • Attempting to access other users' accounts or data

Legal and Safety Violations:

  • Violating any applicable laws or regulations
  • Facilitating illegal activities or transactions
  • Creating safety risks for other users
  • Posting content that infringes on intellectual property rights
  • Money laundering or other financial crimes

4. Listings and User Content

4.1 Listing Requirements

  • All listings must be for legitimate housing opportunities
  • Property descriptions, photos, and pricing must be accurate and current
  • You must have legal authority to list the property
  • Listings must comply with local housing laws and regulations
  • You must update or remove listings when they become unavailable
  • Duplicate listings are prohibited

4.2 Content Ownership and License

You retain ownership of content you post on Lookout. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting our Service.

You represent and warrant that you own or have the necessary rights to all content you post, and that such content does not violate these Terms or infringe on any third party rights.

4.3 Content Moderation

  • We reserve the right to review, edit, or remove any content at our discretion
  • Content that violates these Terms will be removed
  • We may suspend or terminate accounts for repeated violations
  • Users can report inappropriate content or behavior
  • We are not obligated to monitor all content but reserve the right to do so

5. Premium Services and Payments

5.1 Premium Subscription

  • Premium subscriptions provide enhanced features and capabilities
  • Subscription fees are charged in advance on a weekly or monthly basis
  • Pricing may vary by region and currency
  • Premium features include unlimited listing contacts, super requests, and unlimited active listings
  • Subscription benefits are effective immediately upon payment confirmation

5.2 Payment Terms

  • Payments are processed securely through Stripe
  • You authorize us to charge your payment method for subscription fees
  • Subscriptions automatically renew unless cancelled
  • You can cancel your subscription at any time through your account settings
  • Cancellations take effect at the end of the current billing period
  • We do not store your credit card information

5.3 Refunds and Billing Disputes

  • Subscription fees are generally non-refundable
  • Refunds may be provided at our discretion for technical issues or billing errors
  • Disputed charges should be reported within 30 days
  • We reserve the right to change subscription pricing with 30 days notice
  • Taxes may apply to subscription fees based on your location

  • Verification helps build trust but does not guarantee user behavior
  • We investigate reports of fraudulent or suspicious activity
  • Users may be required to re-verify their identity periodically
  • Verification status may be revoked for policy violations

7. Platform Relationship and Responsibilities

7.1 Lookout's Role

Lookout is a technology platform that facilitates connections between users. We are not:

  • A real estate broker, agent, or property manager
  • A party to any rental agreements or housing transactions
  • Responsible for the condition, legality, or availability of listed properties
  • A guarantor of user behavior or transaction outcomes
  • An insurance provider or financial services company

7.2 User Responsibilities

  • Conducting your own due diligence on properties and users
  • Complying with all applicable laws and regulations
  • Negotiating and executing housing agreements independently
  • Resolving disputes with other users directly
  • Verifying the legitimacy of listings and user claims
  • Understanding local tenant rights and housing laws

7.3 No Endorsement

We do not endorse, warrant, or guarantee any users, listings, or housing opportunities on our platform. User verification indicates identity confirmation but does not constitute an endorsement of character, reliability, or suitability.

8. Disclaimers and Limitation of Liability

8.1 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT OR TITLE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
  • WARRANTIES REGARDING SECURITY, ACCURACY, OR RELIABILITY
  • WARRANTIES ABOUT USER BEHAVIOR OR TRANSACTION OUTCOMES

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOKOUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

8.3 Third-Party Content and Services

Our platform may contain links to third-party websites, services, or content. We are not responsible for and do not endorse any third-party content, services, or websites. Your use of third-party services is subject to their terms and conditions.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lookout, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service in violation of these Terms
  • Your content or listings posted on the platform
  • Your interactions with other users
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
  • Any housing transactions or arrangements made through the platform

10. Account Termination

10.1 Termination by You

  • You may terminate your account at any time through account settings
  • Termination does not entitle you to a refund of subscription fees
  • Your listings will be removed upon account termination
  • Some data may be retained for legal and safety purposes

10.2 Termination by Lookout

We reserve the right to suspend or terminate your account at any time for:

  • Violation of these Terms or our policies
  • Fraudulent, illegal, or harmful activity
  • Compromised account security
  • Extended inactivity
  • Failure to pay subscription fees
  • Safety concerns or risk to other users

10.3 Effect of Termination

  • Access to your account and platform features will be immediately revoked
  • Your content and listings will be removed from public view
  • Outstanding obligations under these Terms will survive termination
  • We may retain certain information as required by law or for legitimate business purposes

11. Dispute Resolution

11.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us to attempt to resolve any dispute informally. Please send detailed information about your dispute to legal@lookout.now.

11.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Lookout is incorporated, without regard to conflict of law principles.

11.3 Arbitration

Any disputes arising from these Terms or your use of the Service that cannot be resolved informally shall be resolved through binding arbitration rather than in court, except where prohibited by law. The arbitration shall be conducted by a neutral arbitrator in accordance with applicable arbitration rules.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Lookout regarding your use of the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, or sale of assets.

12.4 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or technical failures.

12.5 Updates to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through email or prominent platform notices. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
